StartHere Terms of Service

Effective Date: August 31, 2026

These Terms of Service (“Terms”) govern your access to and use of StartHere, including www.starthere.pro, and all software, websites, artificial intelligence functionality, conversational interfaces, links, embedded experiences, lead-intake functionality, recommendations, communications, automations, dashboards, calendars, analytics, integrations, and other products, features, or services provided under the StartHere name, whether available now or introduced in the future (collectively, “StartHere”).

These Terms constitute a legally binding agreement between you and the operator of StartHere (“StartHere,” “we,” “us,” or “our”).

By accessing or using StartHere, creating an account, purchasing a subscription, clicking to accept these Terms, or otherwise indicating your acceptance, you agree to these Terms.

If you do not agree to these Terms, do not use StartHere.

1. Who These Terms Apply To

StartHere may be used by businesses and by individuals interacting with businesses through StartHere.

A “Customer” is a person, business, organization, or other entity that purchases, configures, administers, or uses StartHere for its business or commercial activities.

An “End User” is an individual who interacts with StartHere in connection with a Customer, such as a prospective customer, lead, client, visitor, or existing customer of that Customer.

If you use StartHere on behalf of a business, organization, or other entity, you represent and warrant that you have authority to bind that entity to these Terms.

Customers represent that they are acquiring and using StartHere primarily for business or commercial purposes and not primarily for personal, family, or household purposes.

You must be at least 18 years old and legally capable of entering into a binding agreement to create a Customer account.

2. What StartHere Does

StartHere provides technology designed to facilitate interactions between businesses and prospective or existing customers.

Depending on the features enabled, StartHere may:

  • communicate with End Users;
  • answer questions;
  • collect information;
  • identify or qualify inquiries;
  • recommend products or services;
  • provide information supplied by a Customer;
  • facilitate appointments, bookings, orders, or requests;
  • follow up with leads;
  • organize information;
  • generate summaries or structured records;
  • send notifications or communications;
  • provide analytics;
  • connect with third-party services; and
  • perform other automated or business-management functions.

StartHere may add, remove, modify, limit, replace, suspend, or discontinue functionality at any time.

Unless expressly agreed in a separate written agreement signed by StartHere, no particular feature, integration, functionality, model, provider, or capability is guaranteed to remain available.

3. StartHere Is a Technology Provider

StartHere provides technology.

Unless expressly stated otherwise, StartHere is not the business offering the underlying goods or services presented through a Customer's use of StartHere.

The Customer, not StartHere, is responsible for its:

  • products;
  • services;
  • pricing;
  • availability;
  • appointments;
  • bookings;
  • fulfillment;
  • warranties;
  • refunds;
  • representations;
  • licenses;
  • professional qualifications;
  • customer service;
  • business operations; and
  • relationships with End Users.

StartHere is not a party to transactions between a Customer and an End User merely because StartHere facilitated the interaction.

Any agreement for goods or services is generally between the Customer and End User, not StartHere.

4. Autonomous Artificial Intelligence

StartHere may use artificial intelligence, machine learning, large language models, automated systems, electronic agents, or similar technologies (“AI Features”).

AI Features may operate autonomously and communicate with End Users in real time.

CUSTOMERS EXPRESSLY ACKNOWLEDGE AND AUTHORIZE STARTHERE'S AI FEATURES TO GENERATE AND COMMUNICATE RESPONSES TO END USERS WITHOUT EACH RESPONSE BEING REVIEWED OR APPROVED IN ADVANCE BY THE CUSTOMER OR BY STARTHERE PERSONNEL.

Customers understand that AI-generated communications may contain:

  • mistakes;
  • inaccurate information;
  • omissions;
  • misunderstandings;
  • inconsistent information;
  • outdated information;
  • unexpected responses; or
  • other errors.

The possibility of such errors is an inherent characteristic of current artificial intelligence technology.

StartHere does not warrant that AI-generated output will always be accurate, complete, appropriate, current, or consistent.

5. Customer Authorization of AI

By enabling AI Features, Customer authorizes StartHere to use automated systems to communicate with End Users on Customer's behalf within the functionality made available through StartHere.

Customer is responsible for configuring and maintaining the information and instructions used by StartHere concerning Customer's business.

This includes, where applicable:

  • prices;
  • products;
  • services;
  • policies;
  • hours;
  • availability;
  • geographic coverage;
  • promotions;
  • scheduling;
  • qualifications;
  • refund policies;
  • business rules;
  • FAQs;
  • restrictions; and
  • other Customer-supplied information.

Customer must use reasonable efforts to keep such information accurate and current.

Customer is responsible for periodically monitoring its StartHere configuration and correcting inaccurate Customer-supplied information or configuration issues it discovers.

Customer is not expected to manually approve each AI-generated message before the message is delivered.

6. Automated Transactions and Commitments

Unless Customer enables functionality specifically intended to complete or confirm a transaction, StartHere communications are generally informational or preliminary and do not independently constitute a guaranteed price, binding order acceptance, guaranteed reservation, binding contract, or other final commitment by Customer.

For example, an AI-generated discussion about potential availability does not itself guarantee availability unless the applicable StartHere functionality expressly indicates that the booking or reservation has been confirmed.

If Customer enables functionality designed to automatically confirm or complete an appointment, booking, order, transaction, or other commitment, Customer authorizes StartHere's automated systems to perform those functions on Customer's behalf within the parameters Customer configures or approves.

Customer is responsible for determining the scope of authority it provides to StartHere's automated functionality.

Customer remains responsible for commitments made through functionality Customer has enabled, except to the extent a commitment resulted solely from StartHere's failure to operate materially in accordance with Customer's configured parameters and applicable law provides otherwise.

7. AI Errors

Customer acknowledges that an AI Feature may occasionally misunderstand an End User or provide incorrect information.

StartHere will not be responsible for losses arising solely from an End User's reliance on AI-generated content except to the extent liability cannot legally be excluded.

Customers should establish appropriate business processes for correcting significant mistakes when they become aware of them.

An AI response does not constitute a representation or warranty by StartHere regarding a Customer's goods, services, pricing, availability, qualifications, policies, or business.

8. Customer Responsibilities

Customer is solely responsible for Customer's business and its use of StartHere.

Customer represents and warrants that:

  1. it has authority to enter into these Terms;
  2. information it intentionally provides to StartHere is accurate to the best of its knowledge;
  3. it has the rights and permissions necessary to provide its content and information to StartHere;
  4. its products, services, offers, advertisements, promotions, and business practices comply with applicable law;
  5. it will not intentionally use StartHere to deceive, defraud, harass, unlawfully discriminate against, or harm another person;
  6. it will obtain legally required permissions and consents for its communications;
  7. it will comply with applicable privacy, advertising, telemarketing, consumer protection, messaging, email, and industry-specific laws; and
  8. it will honor legally applicable unsubscribe, opt-out, and revocation requests.

Customer is responsible for the actions of employees, contractors, administrators, and others using Customer's account or credentials with Customer's permission.

9. Communications

StartHere may facilitate communications between Customers and End Users through email, text messaging, automated communications, third-party messaging services, or other channels.

Customer is responsible for determining whether Customer has the legal right and appropriate consent to send a particular communication.

Customer is responsible for compliance with applicable requirements relating to:

  • commercial email;
  • telephone solicitation;
  • text messaging;
  • automated communications;
  • marketing consent;
  • do-not-call rules;
  • unsubscribe requests; and
  • revocation of consent.

Availability of a feature does not mean that every possible use of that feature is lawful.

Customer may not instruct StartHere to send communications that Customer could not lawfully send itself.

StartHere may implement technical restrictions, consent mechanisms, disclosures, suppression systems, or other measures intended to help reduce legal, security, or abuse risks.

Customer may not circumvent those measures.

10. No Professional Advice

StartHere is a technology platform and does not itself provide legal, medical, financial, tax, accounting, investment, insurance, or other licensed professional advice.

Information generated through StartHere should not be interpreted as professional advice from StartHere.

Customers operating in regulated professions remain responsible for compliance with the rules applicable to their profession.

11. High-Risk Decisions

Unless StartHere expressly agrees otherwise in writing, Customer may not use StartHere as the sole basis for making decisions that determine an individual's eligibility for:

  • employment;
  • housing;
  • credit;
  • lending;
  • insurance;
  • healthcare;
  • education;
  • government benefits; or
  • another comparably significant opportunity.

StartHere may be used to collect preliminary inquiries or information in such industries where lawful, but Customers remain responsible for appropriate human review and legal compliance.

12. Customer Content

“Customer Content” means information, text, instructions, business information, FAQs, branding, pricing, product descriptions, service descriptions, images, files, prompts, policies, and other materials provided by or on behalf of Customer.

As between StartHere and Customer, Customer retains its ownership rights in Customer Content.

Customer grants StartHere a worldwide, non-exclusive, royalty-free license to host, reproduce, process, transmit, display, modify, format, analyze, and otherwise use Customer Content as reasonably necessary to:

  • operate StartHere;
  • provide AI functionality;
  • communicate with End Users;
  • generate Customer’s StartHere experience;
  • provide support;
  • maintain and secure StartHere;
  • prevent fraud or abuse;
  • troubleshoot problems; and
  • perform our obligations under these Terms.

Customer represents that Customer Content and our authorized use of it will not violate another person's intellectual property, privacy, publicity, contractual, or other rights.

13. End User and Lead Data

StartHere may collect or process information submitted by End Users through Customer's use of StartHere (“Lead Data”).

Depending on applicable law, Customer may be considered the business, controller, or other responsible party regarding Lead Data, and StartHere may act as a service provider, processor, or similar party.

Customer is responsible for determining:

  • what information it is appropriate to collect;
  • what information it has a lawful basis to collect;
  • what disclosures it must provide;
  • what consents it must obtain;
  • how it may use Lead Data; and
  • how it must respond to applicable privacy requests.

StartHere may process Lead Data as reasonably necessary to operate and improve StartHere, provide the functionality requested by Customer, secure the service, detect abuse, and comply with law, subject to our Privacy Policy and applicable law.

14. Sensitive Information

Unless StartHere expressly agrees otherwise in writing, Customers must not intentionally use StartHere to collect or store:

  • Social Security numbers;
  • passwords;
  • authentication credentials;
  • private cryptographic keys;
  • complete payment-card information;
  • bank-account login credentials;
  • government identification numbers where unnecessary;
  • biometric identifiers;
  • detailed medical records;
  • protected health information subject to HIPAA where a Business Associate Agreement would be required; or
  • other highly sensitive information for which StartHere is not designed.

Customer is responsible for configuring its intake process so that unnecessary sensitive information is not requested.

15. Privacy

Use of StartHere is also subject to the StartHere Privacy Policy.

Customers are responsible for providing their own privacy disclosures where required by law.

StartHere's Privacy Policydoes not replace a Customer's privacy obligations toward its own customers, prospects, or End Users.

16. Security

StartHere may implement administrative, organizational, physical, and technical measures designed to protect StartHere and information processed through it.

However, no Internet-connected service, AI system, software platform, network, or storage system can be guaranteed to be completely secure.

StartHere does not warrant that unauthorized parties will never be able to defeat security measures.

Customers are responsible for:

  • protecting their credentials;
  • limiting account access;
  • using appropriate passwords;
  • securing devices used to access StartHere; and
  • promptly reporting suspected unauthorized access.

17. Accounts

You must provide accurate account information.

You may not:

  • access another user’s account without authorization;
  • share credentials with unauthorized persons;
  • impersonate another person or business;
  • create abusive or fraudulent accounts;
  • use automated means to create excessive accounts;
  • bypass usage restrictions;
  • circumvent security measures; or
  • attempt to obtain information you are not authorized to access.

We may require reasonable account, identity, business, email, or payment verification.

18. Acceptable Use

You may not use StartHere to:

  • violate applicable law;
  • facilitate illegal activity;
  • commit fraud;
  • intentionally deceive or impersonate others;
  • send unlawful spam;
  • harass or threaten people;
  • intentionally distribute malware;
  • compromise another system;
  • gain unauthorized access to data;
  • probe StartHere’s security without authorization;
  • interfere with StartHere’s operation;
  • circumvent rate limits or account restrictions;
  • scrape StartHere at scale without authorization;
  • systematically extract StartHere content to build a competing product or model;
  • reverse engineer StartHere except where applicable law expressly permits such activity;
  • infringe intellectual property rights;
  • unlawfully collect personal information;
  • generate abusive levels of automated traffic; or
  • use StartHere in a manner that creates material legal, security, operational, or reputational risk.

We may investigate suspected violations.

19. Suspension

StartHere may suspend, limit, or restrict access when we reasonably believe:

  • Customer has violated these Terms;
  • payment is overdue;
  • activity appears fraudulent or abusive;
  • an account has been compromised;
  • use creates security risk;
  • use may violate applicable law;
  • use threatens StartHere or another person;
  • a necessary third-party provider requires restriction;
  • continued service could expose StartHere to material liability; or
  • immediate action is reasonably necessary to prevent harm.

Where reasonably practicable, StartHere may provide an opportunity to address the issue.

Immediate suspension may occur when we reasonably believe immediate action is necessary.

20. Third-Party Services

StartHere may use or integrate with third-party services, including:

  • artificial intelligence providers;
  • cloud hosting providers;
  • communications providers;
  • email providers;
  • messaging providers;
  • payment processors;
  • analytics providers;
  • calendar providers;
  • social platforms;
  • APIs; and
  • other software or infrastructure providers.

StartHere does not control those third parties.

We are not responsible for third-party:

  • outages;
  • errors;
  • delays;
  • security incidents;
  • API limitations;
  • policy changes;
  • feature removals;
  • service discontinuations;
  • account restrictions; or
  • other acts or omissions.

We may replace, add, or remove third-party providers at any time.

21. Beta and Experimental Features

StartHere may provide beta, preview, experimental, free, trial, or early-access functionality.

Such functionality may:

  • contain errors;
  • behave unexpectedly;
  • change without notice;
  • have limited support;
  • experience greater downtime; or
  • be discontinued.

Beta or experimental functionality is provided “AS IS” and may not be suitable for critical business operations.

22. Fees

Certain features of StartHere require payment.

Customer agrees to pay the prices presented at checkout or stated in an applicable proposal, invoice, order form, or written agreement.

Unless otherwise expressly stated:

  • setup fees are payable when charged;
  • subscription fees are billed in advance;
  • amounts are stated in U.S. dollars;
  • applicable taxes are additional; and
  • Customer is responsible for taxes associated with Customer’s purchase other than taxes based on StartHere’s net income.

23. Automatic Renewal

Unless otherwise stated when purchased, paid subscriptions automatically renew for successive billing periods until canceled.

For example, a monthly subscription renews monthly.

BY PURCHASING A RECURRING SUBSCRIPTION, CUSTOMER AUTHORIZES STARTHERE AND ITS PAYMENT PROCESSORS TO CHARGE THE APPLICABLE SUBSCRIPTION FEES AND TAXES TO CUSTOMER'S PAYMENT METHOD ON EACH RENEWAL DATE UNTIL THE SUBSCRIPTION IS CANCELED.

Customer may cancel using the cancellation method provided by StartHere or by contacting StartHere.

Unless otherwise expressly stated, cancellation becomes effective at the end of the current paid billing period.

24. Price Changes

StartHere may change its prices.

A price change will not retroactively increase fees already paid for a completed or current billing period.

For recurring subscriptions, StartHere will provide reasonable advance notice before a material price increase applies to an existing subscription.

Unless otherwise stated, StartHere intends to provide at least thirty (30) days' notice of a material subscription price increase.

If Customer does not agree to the new price, Customer may cancel before the increased price becomes effective.

Continuing the subscription after the price change takes effect constitutes acceptance of the new price.

25. Payment Authorization

Customer authorizes StartHere and its payment processors to charge Customer's payment method for amounts due.

If payment fails, StartHere may:

  • retry the payment method;
  • request another payment method;
  • restrict paid functionality;
  • suspend access; or
  • terminate the subscription.

Customer remains responsible for amounts validly incurred before termination.

An unsuccessful or disputed payment does not automatically cancel the Customer's payment obligations.

26. Refunds

EXCEPT WHERE REQUIRED BY LAW OR EXPRESSLY AGREED BY STARTHERE IN WRITING, ALL PAYMENTS ARE NONREFUNDABLE.

This includes:

  • setup fees;
  • subscription fees;
  • partially used billing periods; and
  • unused functionality during a billing period.

Cancellation ordinarily prevents future renewal charges but does not result in a refund for the current billing period.

27. Promotions and Pilot Pricing

StartHere may offer:

  • discounts;
  • pilot pricing;
  • free trials;
  • promotional pricing;
  • grandfathered pricing;
  • credits; or
  • other special offers.

Promotional terms may differ from standard pricing.

Unless expressly promised otherwise, temporary promotional or pilot pricing does not guarantee that the same price will remain available indefinitely.

Any applicable future price increase remains subject to the notice provisions of these Terms.

28. Ownership of StartHere

StartHere and its licensors retain all rights, title, and interest in and to StartHere, including:

  • software;
  • code;
  • interfaces;
  • designs;
  • workflows;
  • system prompts;
  • platform architecture;
  • algorithms;
  • models;
  • documentation;
  • trademarks;
  • branding;
  • databases;
  • analytics systems; and
  • other intellectual property.

Except for the limited rights expressly granted under these Terms, no rights in StartHere are transferred to Customer or End User.

29. License

Subject to these Terms and payment of applicable fees, StartHere grants Customer a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use StartHere during the applicable subscription period for Customer's legitimate business purposes.

Customer may allow authorized employees and contractors to use its account on Customer's behalf.

Customer remains responsible for their compliance with these Terms.

30. AI Output

To the extent permitted by applicable law and subject to third-party rights, StartHere does not claim ownership over AI-generated content created specifically for Customer solely because StartHere generated it.

However:

  • AI-generated material may not qualify for intellectual-property protection;
  • similar or identical content may be generated for other users;
  • StartHere does not guarantee that generated content is unique;
  • StartHere does not guarantee that generated content does not resemble third-party material; and
  • StartHere’s underlying software, models, workflows, prompts, technology, and systems remain StartHere’s property.

31. Feedback

If you provide suggestions, ideas, recommendations, feature requests, or other feedback relating to StartHere (“Feedback”), you grant StartHere a perpetual, irrevocable, worldwide, royalty-free right to use, reproduce, modify, distribute, commercialize, and incorporate that Feedback without restriction or compensation.

Feedback does not include ownership of Customer's underlying confidential business information.

32. Aggregated and De-Identified Information

To the extent permitted by applicable law, StartHere may create and use aggregated, statistical, or de-identified information derived from use of StartHere.

We may use such information for purposes including:

  • improving StartHere;
  • understanding usage;
  • developing features;
  • analytics;
  • benchmarking;
  • detecting abuse;
  • security;
  • research; and
  • business operations.

33. Service Availability

StartHere aims to provide a reliable service, but uninterrupted access is not guaranteed.

StartHere may be unavailable because of:

  • maintenance;
  • software defects;
  • infrastructure failures;
  • Internet outages;
  • third-party outages;
  • AI-provider failures;
  • telecommunications failures;
  • security events;
  • updates;
  • circumstances outside our reasonable control; or
  • other operational reasons.

Unless StartHere expressly enters into a separate written service-level agreement, StartHere makes no guarantee concerning:

  • uptime;
  • response times;
  • recovery times;
  • message delivery;
  • notification delivery;
  • lead delivery; or
  • availability.

34. No Backup Guarantee

StartHere is not intended to serve as Customer's sole system of record or archival storage unless expressly stated otherwise.

Customer is responsible for retaining copies of information that Customer is legally or operationally required to preserve.

StartHere does not guarantee that Customer Content or Lead Data will be retained indefinitely.

35. No Guarantee of Business Results

StartHere may be designed or marketed to improve customer intake, responsiveness, qualification, follow-up, conversion, or business operations.

Actual results depend on circumstances outside StartHere's control.

STARTHERE DOES NOT GUARANTEE ANY NUMBER OF LEADS, SALES, BOOKINGS, APPOINTMENTS, CUSTOMERS, REVENUE, PROFITS, RESPONSE RATES, CONVERSION RATES, COST SAVINGS, OR RETURN ON INVESTMENT.

Examples, demonstrations, projections, estimates, testimonials, and case studies are illustrative and are not guarantees of future performance.

36. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STARTHERE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

StartHere disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of:

  • merchantability;
  • fitness for a particular purpose;
  • title;
  • non-infringement;
  • accuracy;
  • availability;
  • reliability; and
  • quiet enjoyment.

StartHere does not warrant that:

  • StartHere will operate without interruption;
  • StartHere will be error-free;
  • all defects will be corrected;
  • AI-generated output will always be accurate;
  • StartHere will satisfy every Customer requirement;
  • messages will always be delivered;
  • integrations will remain available;
  • information will never be lost;
  • security incidents will never occur; or
  • StartHere will produce particular business results.

Some jurisdictions do not permit certain warranty exclusions, so portions of this section may not apply where prohibited.

37. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STARTHERE AND ITS OPERATOR, AFFILIATES, SERVICE PROVIDERS, CONTRACTORS, AGENTS, LICENSORS, AND REPRESENTATIVES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATING TO STARTHERE OR THESE TERMS.

This includes damages relating to:

  • lost profits;
  • lost revenue;
  • lost business;
  • lost sales;
  • lost opportunities;
  • lost leads;
  • lost customers;
  • lost goodwill;
  • business interruption;
  • replacement services;
  • lost or corrupted information;
  • communication failures;
  • missed appointments;
  • third-party services; or
  • reliance on AI-generated content.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STARTHERE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO STARTHERE, THESE TERMS, OR THE RELATIONSHIP BETWEEN THE PARTIES WILL NOT EXCEED THE GREATER OF:

(A) THE AMOUNTS ACTUALLY PAID BY THE CUSTOMER TO STARTHERE DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT FIRST GIVING RISE TO THE CLAIM; OR

(B) ONE HUNDRED U.S. DOLLARS ($100).

For an End User who has not paid StartHere, StartHere's total aggregate liability will not exceed one hundred U.S. dollars ($100), to the maximum extent permitted by law.

These limitations apply:

  • regardless of the form of action;
  • whether the claim is based in contract, tort, negligence, statute, strict liability, or another legal theory;
  • even if StartHere knew or was advised that damages were possible; and
  • even if a limited remedy fails of its essential purpose.

Nothing in these Terms limits liability to the extent such liability cannot legally be excluded or limited.

38. Customer Indemnification

To the maximum extent permitted by law, Customer agrees to defend, indemnify, and hold harmless StartHere and its operator, affiliates, contractors, service providers, licensors, agents, and representatives from and against third-party claims, demands, proceedings, liabilities, judgments, settlements, damages, penalties, fines, losses, costs, and reasonable attorneys' fees arising out of or relating to:

  1. Customer's products or services;
  2. Customer Content;
  3. Customer's business activities;
  4. Customer's relationship or transaction with an End User;
  5. Customer's pricing, offers, representations, warranties, availability, fulfillment, or policies;
  6. Customer's violation of applicable law;
  7. Customer's breach of these Terms;
  8. Customer's infringement or violation of another person's rights;
  9. Customer's collection, processing, disclosure, or use of personal information;
  10. Customer's marketing, emails, text messages, calls, or other communications;
  11. Customer's failure to obtain legally required permission or consent;
  12. Customer's regulated or professional activities;
  13. Customer's configuration or instructions supplied to StartHere;
  14. commitments made through automated functionality Customer enabled; or
  15. use of StartHere by anyone accessing Customer's account with Customer's authorization.

StartHere may assume control of the defense of a matter subject to indemnification.

Customer agrees to reasonably cooperate with the defense.

Customer may not settle a claim in a way that admits wrongdoing by StartHere, requires StartHere to pay money, or imposes obligations on StartHere without StartHere's prior written consent.

39. End User Disputes

StartHere is not responsible for resolving disputes between a Customer and an End User.

This includes disputes concerning:

  • pricing;
  • availability;
  • appointments;
  • bookings;
  • orders;
  • payments;
  • refunds;
  • products;
  • services;
  • quality;
  • warranties;
  • fulfillment;
  • representations;
  • cancellations; or
  • other interactions between Customer and End User.

Customers remain responsible for resolving disputes concerning their businesses.

40. Confidentiality

Each party may receive non-public information that reasonably should be considered confidential.

Each party agrees to use reasonable measures to protect the other party's confidential information and use it only for legitimate purposes relating to StartHere or the parties' relationship.

Confidential information does not include information that:

  • becomes publicly available without breach of these Terms;
  • was lawfully known without a confidentiality obligation;
  • is lawfully obtained from a third party without confidentiality restrictions; or
  • is independently developed without use of the confidential information.

A party may disclose confidential information when required by applicable law, legal process, or government order.

41. Customer References

Unless Customer tells StartHere otherwise in writing, StartHere may identify Customer by business name and logo as a StartHere customer in ordinary customer lists or similar promotional materials.

StartHere will not imply Customer's endorsement of StartHere beyond the fact that Customer uses or has used StartHere.

42. Termination by Customer

Customer may stop using StartHere at any time.

Customer may cancel a recurring subscription through the cancellation functionality provided or by contacting StartHere.

Unless otherwise stated, cancellation takes effect at the conclusion of Customer's current paid billing period.

Cancellation does not eliminate valid amounts already owed.

43. Termination by StartHere

StartHere may terminate or discontinue a Customer's access if:

  • Customer materially breaches these Terms;
  • Customer repeatedly violates these Terms;
  • Customer fails to pay applicable fees;
  • continued service creates material legal or security risk;
  • Customer engages in fraud or abuse;
  • a necessary third-party provider prevents continued service;
  • StartHere is required to terminate access by law; or
  • StartHere discontinues the applicable service.

StartHere may terminate a free account or free feature upon reasonable notice.

Where circumstances reasonably permit, StartHere may provide notice before terminating a paid Customer for reasons unrelated to Customer misconduct.

44. Effect of Termination

After termination:

  • Customer’s right to access StartHere ends;
  • Customer-facing functionality may stop;
  • integrations may stop;
  • communications and notifications may stop;
  • Customer may lose access to stored information; and
  • StartHere may delete information in accordance with its retention practices and applicable law.

Customer is responsible for exporting information it wishes to retain before termination where export functionality is available.

Sections that by their nature should survive termination will survive, including provisions concerning:

  • ownership;
  • payments;
  • confidentiality;
  • disclaimers;
  • limitation of liability;
  • indemnification;
  • dispute resolution; and
  • miscellaneous contractual provisions.

45. Changes to StartHere

StartHere is an evolving product.

We may:

  • add features;
  • modify features;
  • remove features;
  • change usage limits;
  • modify interfaces;
  • change AI models;
  • change providers;
  • modify technical requirements;
  • alter integrations; or
  • discontinue portions of StartHere.

We may make such changes without liability except where expressly agreed otherwise in writing or prohibited by law.

46. Changes to These Terms

StartHere may update these Terms from time to time.

If we make material changes, we may provide notice through:

  • StartHere;
  • email;
  • our website; or
  • another reasonable method.

Updated Terms will apply prospectively from their stated effective date.

Where reasonably appropriate, material changes affecting a paid Customer's existing subscription will become applicable no later than the Customer's next renewal.

Continued use of StartHere after updated Terms become effective constitutes acceptance to the extent permitted by applicable law.

47. Informal Dispute Resolution

Before initiating arbitration or litigation against StartHere, you agree to first provide written notice describing:

  • your name;
  • your contact information;
  • the facts giving rise to the dispute;
  • the nature of the claim; and
  • the relief requested.

The parties agree to attempt in good faith to resolve the dispute informally for at least thirty (30) days after receipt of the notice.

48. Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Except for disputes eligible for small claims court and requests for temporary or preliminary injunctive relief relating to intellectual property, security, unauthorized access, or misuse of StartHere, disputes arising out of or relating to StartHere, these Terms, or the relationship between the parties will be resolved by binding individual arbitration rather than a lawsuit in court.

The Federal Arbitration Act governs this arbitration agreement.

Unless the parties agree otherwise, arbitration will be administered by the American Arbitration Association (“AAA”) pursuant to the applicable AAA rules.

The arbitration may take place remotely or in Hillsborough County, Florida, unless the parties agree to another location.

The arbitrator may award individual remedies available under applicable law.

Judgment on an arbitration award may be entered in any court having jurisdiction.

Nothing in this section prevents either party from seeking qualifying relief in small claims court.

49. Class Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND STARTHERE AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY.

Neither party may participate as a plaintiff, claimant, or class member in a purported:

  • class action;
  • collective action;
  • consolidated action; or
  • representative proceeding.

Unless both parties agree otherwise, the arbitrator may not consolidate claims belonging to different individuals or entities.

50. Jury Trial Waiver

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH PARTY WAIVES ANY RIGHT TO A TRIAL BY JURY FOR A DISPUTE ARISING OUT OF OR RELATING TO STARTHERE OR THESE TERMS.

51. Governing Law

Except where federal law controls, these Terms and disputes arising from them are governed by the laws of the State of Florida, without regard to conflict-of-law principles.

For disputes permitted to proceed in court rather than arbitration, the parties consent to jurisdiction and venue in the state and federal courts located in or serving Hillsborough County, Florida, except where applicable law requires otherwise.

52. Electronic Transactions

You consent to conducting transactions with StartHere electronically.

Electronic acceptance, clicks, account creation, purchases, communications, electronic signatures, and electronic records may be used to establish agreements and satisfy applicable signature or writing requirements to the extent permitted by law.

You agree that automated systems may be used in connection with transactions as described in these Terms.

53. Notices

StartHere may provide notices to Customers through:

  • the email address associated with the account;
  • StartHere itself;
  • www.starthere.pro; or
  • another reasonable electronic method.

You are responsible for keeping your account contact information current.

54. Force Majeure

StartHere will not be liable for delay or failure resulting from circumstances beyond its reasonable control, including:

  • natural disasters;
  • severe weather;
  • Internet failures;
  • telecommunications failures;
  • cloud-provider failures;
  • third-party outages;
  • cyberattacks;
  • acts of government;
  • changes in law;
  • war;
  • terrorism;
  • civil unrest;
  • labor disputes;
  • epidemics;
  • infrastructure failures; or
  • changes to third-party APIs or platforms.

55. Assignment

Customer may not assign or transfer these Terms without StartHere's prior written consent.

StartHere may assign or transfer these Terms in connection with:

  • incorporation or formation of a business entity operating StartHere;
  • a merger;
  • acquisition;
  • financing;
  • reorganization;
  • sale of assets;
  • change of control; or
  • transfer to an affiliate, successor, or entity that continues operating StartHere.

56. Independent Parties

These Terms do not create a:

  • partnership;
  • joint venture;
  • employment relationship;
  • fiduciary relationship;
  • franchise; or
  • agency relationship

between StartHere and Customer except for the limited authorization granted to automated functionality to act on Customer's behalf as expressly described in these Terms.

57. No Third-Party Beneficiaries

Except as expressly stated in these Terms, these Terms do not create rights for third parties.

58. Waiver

Failure by StartHere to enforce a provision of these Terms does not waive the right to enforce that provision later.

A waiver regarding one event does not constitute a waiver regarding another event.

59. Severability

If any provision of these Terms is determined to be unlawful or unenforceable, that provision will be enforced to the maximum extent legally permissible or severed if necessary.

The remaining provisions will remain in effect.

60. Entire Agreement

These Terms, the StartHere Privacy Policy, applicable order forms, and any other written agreement expressly incorporated into these Terms constitute the entire agreement concerning use of StartHere.

They supersede prior discussions, representations, proposals, or agreements concerning the same subject matter.

If an order form or separately signed agreement expressly conflicts with these Terms, the separately signed agreement controls with respect to that specific conflict.

61. Interpretation

Headings are provided for convenience and do not limit the meaning of these Terms.

Words such as “including” mean “including without limitation.”

A provision will not be interpreted against a party merely because that party drafted it.
